Terms and Conditions –
Watergate Sonic reservation programme

  1. Introduction

    These terms and conditions (“Terms”) govern the Watergate Sonic Reservation Programme (“Programme”) operated by Watergate AI Limited, a company registered in England and Wales under company number 15320638, with its registered office at 5 Jardine House, Bessborough Road, Harrow, HA1 3EX, United Kingdom (“Watergate”, “we”, “us”, “our”).

    By paying the reservation deposit and participating in the Programme, you agree to be bound by these Terms.

  2. Definitions

    1. “Sonic” means the Watergate Sonic smart water shut-off device.

    2. Reservation Deposit” means the payment of £50 per device made by a customer to reserve a place in the queue for a future production batch of Sonic devices.

    3. Customer” or “you” means the individual consumer making a reservation under the Programme.

    4. Batch” means a production batch of Sonic devices scheduled for delivery and allocation to customers.

    5. “Final Order” means the completed purchase order for a Sonic device placed after Watergate invites the Customer to complete payment.

  3. Purpose of the programme

    Due to high demand, Sonic devices are temporarily out of stock.

    The Programme allows customers to reserve a place in the queue for an upcoming production batch by paying a Reservation Deposit.

    The Reservation Deposit does not constitute a purchase of a device, nor does it create a binding contract for the sale of a device.

    A contract of sale is formed only when the Customer completes the Final Order and pays the remaining balance.

  4. Reservation deposit

    The Reservation Deposit is £50 per device.

    The deposit:

    • reserves a place in the queue for the next available Sonic production batch
    • will be credited towards the final purchase price when the Final Order is placed.

    Payment of the deposit does not guarantee delivery within a specific batch.

    The Reservation Programme is available only to customers located in the United Kingdom.

    Devices reserved under the Programme will be delivered exclusively to addresses within the United Kingdom.

    Customers must provide a valid UK delivery address when completing the Final Order.

    If a Customer is unable to provide a valid UK delivery address, Watergate reserves the right, at its sole discretion, either:

    • (a) to cancel the reservation and refund the Reservation Deposit in accordance with these Terms; or
    • (b) to agree with the Customer to arrange delivery outside the United Kingdom, subject to the Customer covering any additional shipping, logistics, duties, taxes or administrative costs associated with such delivery.
  5. Order allocation

    Devices from each Batch will be allocated in the order reservations are received on a first-come, first-served basis.

    If the number of reservations exceeds the number of devices available in a particular Batch, the Customer will automatically be allocated to the next available production Batch.

    In such cases Watergate will notify the Customer of this allocation via email.

  6. Expected availability

    The next production Batch is currently expected to be available around July 2026.

    However, due to factors outside Watergate’s reasonable control, including but not limited to:

    • geopolitical or economic conditions
    • supply chain disruptions
    • manufacturing or logistics delays

    Watergate reserves the right to change the expected delivery timeline.

    Customers will be informed of any significant delays by email.

  7. Customer communications

    By participating in the Programme, you agree that Watergate may contact you by email regarding:

    • your reservation
    • product availability
    • completion of your order
    • delivery arrangements.

    These communications are considered service communications relating to your reservation.

  8. Completion of the order

    When devices from the relevant Batch become available, Watergate will send the Customer an email containing a link to complete the Final Order.

    At that stage the Customer will be able to:

    • confirm the order
    • provide or update the delivery address
    • pay the remaining balance for the device.

    The delivery address may be changed at the time the Final Order is completed.

  9. Payment deadline

    After receiving the link to complete the Final Order, the Customer will have 30 calendar days to complete payment.

    If the Customer does not complete payment within this period:

    • the Reservation Deposit will be returned in accordance with the refund policy below.
    • the reservation will be automatically cancelled
    • the Customer will lose their place in the queue
  10. Refunds

    Customers may request a refund of the Reservation Deposit at any time by contacting:

    support@watergate.ai

    In the case of a voluntary refund requested by the Customer, Watergate will deduct a 10% fee from the refunded amount to cover operational and payment processing costs associated with administering the Programme.

    However, if delivery delays caused by Watergate result in a revised delivery timeline that the Customer does not accept, the Customer will be entitled to receive a full refund of the Reservation Deposit without any deductions.

    Refunds will be issued to the original payment method unless otherwise agreed.

  11. Programme limitations

    Participation in the Programme:

    • does not constitute a completed purchase of the device.
    • does not guarantee delivery within a specific production Batch
    • does not guarantee a specific delivery date

    Changes to the programme

    Watergate reserves the right to amend, suspend, or withdraw the Programme at any time.

    Any changes will not affect reservations already made under the Programme.

  12. Governing law

    These Terms are governed by the laws of England and Wales.

    Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
